| Rules, Terms and Conditions of the UnleashVideo.com popularity contest |

The “UnleashVideo.com popularity” contest (“contest”) is organized by VideoUnleash! Inc. (“organizers”) |

Participation in contest is purely voluntary. There is no participation fee. To be eligible for the participation in the contest, participant must be a United States of America resident, Canadian resident, or someone of North American descent, who is at least 16 years of age at the time of participation in the contest. |
|
Preliminary contest shall be open from 00:00 hours on February 1, 2008 and close on December 31, 2008 at 16:20 hours (“contest period”). Entries received after the closing of the contest period shall not be considered and the same will be invalid. Organizers have the sole and absolute right to close or extend the contest by any time frame at their discretion. |
|
To be eligible for prizes, users will have to register for UnleashVideo.com and be one of the 5 most popular people on UnleashVideo.com, as determined by the user's popularity score, before the closing hours of the contest period. User's popularity score reflects number of people who have joined via a user's invitation link. To be eligible for prizes, users would need to comply with the rules as set forth herein within the prescribed time period and have a minimum popularity score of 1,000. All invited friends must be active UnleashVideo.com users to count towards the final score. |

The UnleashVideo.com database will keep a record of every user's popularity score and determine the winner based on the scores in the database. The contest's tracking system has been developed by a third party entity, and the organizers shall not be responsible for any technical errors therein. Hackers will be automatically disqualified. If it is determined that you are creating fake profiles in order to increase your popularity score, or if you are caught cheating in any way, you will be disqualified. Your number of friends must be greater than or equal to your popularity score to be eligible. |

The prize will be an iPhone, sent to the mailing address provided by each of the winners. Winners must provide a valid mailing address to the organizers, within 2 weeks of notification, in order to be eligible for the prize. |
|
A person shall not be entitled to more than one prize in the same category. |
|
If more than one registration is received from the same user, either through the same medium or otherwise, only one such registration, of organizers' choice, shall be eligible for participation. |
|
Names of winners shall be posted on organizers' website http://www.unleashvideo.com (“website”) by December 31, 2008. Winners shall also be informed individually by email. |
|
Organizers' shall not be responsible, if the winners do not respond to the notification email with a valid mailing address within 2 weeks. |
|
Organizers' decision in regard to winners shall be final and binding. No communication or objection shall be entertained in this regard. |
|
Prizes received under contest shall not be transferable and cannot be exchanged for cash or otherwise. Prizes cannot be substituted for other articles or gifts. |
|
Names and photographs of winners may be used by organizers' at their sole discretion for publicity or promotional purposes. Winners who do not wish for their names/photographs to be publicly displayed may clearly indicate so in a communication sent to organizers' by recorded delivery. |
|
Organizers' shall not be responsible for any cost, expense or other liability whatsoever in relation to, arising from or connected with prizes. Organizers shall not be responsible for any injury, loss, damage or other consequence whatsoever arising from, suffered or incurred by winner from or in relation to prizes. |
|
Contest shall be subject to the laws of Canada, including tax laws, rules and regulations as may be applicable to winners. Winners shall be solely responsible for payment of applicable taxes to concerned authorities in respect of the prizes as may be required by law prior to delivery of prizes. Winners shall required to show proof of tax payment and also sign a declaration as per the format provided by the organizers on or before January 30, 2009, in respect of the taxes paid by the winner as applicable on the prizes. In case of non-payment of taxes by any winner by January 30, 2009, prizes will be forfeited and may be given out to other participants as the organizers may deem fit. A draft of the affidavit and indemnity bond is described as per Annexure 1 below. |

Organizers offer no guarentee or warranty in respect of any of the prizes. The manufactures, services providers, supplier of the prizes alone shall be liable for any guarentee or warranty, if any. |
|
All costs and expenses for collecting, redeeming or utilizing the prize/s will be borne by the respective winner and no claim of whatsoever nature will be entertained by the organizers in this regard. Apart from the entitlement to the prize, the winner or his/her legal heirs will have no other rights or claims against VideoUnleash! Inc. |
|
Any disputes arising from or in relation to contest shall be subject exclusively to jurisdiction in the province of Ontario, Canada. |
|
Winners will return completed copy tax affidavit provided in Annexure 1 to the organizers no later than January 30, 2009. |
|
Participation in this contest implies acceptance of all the terms and conditions of the contest. |
|
VideoUnleash! Inc. Will purchase the prizes from third party vendors and will not be responsible for any defects therein. |
